Terms of Service

1. Parties and Definitions

These Terms of Service ("Terms") govern access to and use of the Zepilo software-as-a-service platform (the "Service") operated by Zepilo, registered in the Netherlands , with its registered office at the Netherlands ("Zepilo", "we", "us").

"Customer" means the legal entity or individual that signs up for or accesses the Service. "User" means any individual authorised by the Customer to access the Service under the Customer's account. By accessing or using the Service, you agree to be bound by these Terms.

2. Description of Service

Zepilo is a cloud-based CRM and workflow platform designed for Dutch real estate agencies (makelaars). The Service includes property management, contact management, lead management, compliance tools, AI-assisted copywriting, access to integrated property data via Voseno, and lead generation via Huisly, as described at www.zepilo.com.

The Service is provided on a subscription basis. Specific features may vary between subscription plans. Features marked "coming soon" are not yet available and are not guaranteed to launch by any particular date.

3. Account Terms

To use the Service you must: (a) be at least 18 years old; (b) provide accurate and complete registration information; (c) keep your login credentials confidential; and (d) notify us immediately at support@zepilo.com of any unauthorised use of your account.

You are responsible for all activity that occurs under your account, including activity by Users you have authorised. Each Customer account may have one or more Users as permitted by the applicable subscription plan. Zepilo does not charge additional fees per User under flat-rate subscription plans.

You may not share login credentials with individuals outside your organisation or use the Service to provide access to third parties not covered by your subscription.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable Dutch or EU law, including the AVG/GDPR, WWFT, and real estate regulations;
  • Transmit, store, or process personal data of data subjects through the Service in a manner that violates applicable data protection law;
  • Attempt to gain unauthorised access to any part of the Service, or interfere with the security, integrity, or performance of the Service;
  • Reverse-engineer, decompile, or disassemble the Service or any part of it;
  • Resell, sublicense, or otherwise make the Service available to third parties without our prior written consent;
  • Use the Service to send unsolicited communications (spam), or to engage in any practice prohibited by the Dutch Telecommunicatiewet or equivalent legislation;
  • Upload or transmit malicious code, viruses, or any content that infringes third-party intellectual property rights.

We reserve the right to suspend or terminate accounts that violate this section, with or without prior notice depending on the severity of the violation.

5. Intellectual Property

The Service, including all software, designs, trademarks, and content developed by Zepilo, is and remains the exclusive property of Zepilo. These Terms do not grant you any ownership rights in the Service.

You retain full ownership of all data, content, and files you upload to the Service ("Customer Data"). You grant Zepilo a limited, non-exclusive licence to process Customer Data solely to deliver the Service to you. We do not claim ownership of Customer Data and will not use it for any purpose other than providing and improving the Service.

You represent that you have all necessary rights to upload Customer Data to the Service and that doing so does not infringe any third-party rights.

6. Payment Terms

Subscriptions are available on monthly or annual billing cycles. Prices are listed in EUR and exclusive of VAT unless stated otherwise.

Monthly subscriptions are billed in advance on a monthly basis. The billing date is the date of initial subscription.

Annual subscriptions are billed in advance for a full 12-month period. Annual plans are offered at a discount compared to the equivalent monthly rate.

Payment is due upon invoice. If payment is not received within 14 days of the invoice date, we may suspend access to the Service. Continued non-payment for more than 30 days may result in termination of the account.

All fees are non-refundable except as expressly stated in these Terms or required by applicable law. If you cancel a monthly subscription, your access continues until the end of the current billing period. If you cancel an annual subscription, no refund is provided for the remaining months of the annual term unless the cancellation is due to a material breach by Zepilo.

We reserve the right to change pricing. We will provide at least 30 days' advance written notice of any price increase. Continued use of the Service after the effective date of the price change constitutes your acceptance of the new pricing.

7. Data Processing

To the extent that you use the Service to process personal data of third parties (e.g., clients, leads, tenants), you act as the data controller and Zepilo acts as the data processor. In this capacity, Zepilo processes personal data only on your documented instructions and in accordance with the Data Processing Agreement (DPA) incorporated into these Terms by reference.

The DPA is available on request from privacy@zepilo.com. By accepting these Terms, you also accept the DPA.

8. Third-Party Integrations

The Service integrates with third-party platforms including Voseno (property data), Huisly (lead generation), and others. These integrations are provided for your convenience. Zepilo is not responsible for the availability, accuracy, or content of third-party platforms. Your use of third-party services is governed by their respective terms.

We may add, modify, or remove third-party integrations at any time. Where a material integration is removed, we will provide reasonable advance notice.

9. Availability and Support

We aim to maintain high availability of the Service but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance where practicable. We will make reasonable efforts to resolve issues promptly.

Support is available by email at support@zepilo.com. Response times may vary based on the support tier associated with your subscription plan.

10. Limitation of Liability

To the maximum extent permitted by Dutch law, Zepilo's total aggregate liability to you arising from or in connection with these Terms or the Service, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total fees paid by you to Zepilo in the three (3) months immediately preceding the event giving rise to the claim.

In no event shall either party be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of revenue, or loss of goodwill, even if the party has been advised of the possibility of such damages.

Nothing in these Terms limits or excludes liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be limited or excluded under Dutch law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Zepilo and its directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) Customer Data you upload to the Service; or (c) your violation of any applicable law or third-party rights.

12. Termination

By you: You may cancel your subscription at any time through your account settings or by contacting support@zepilo.com. Cancellation takes effect at the end of the current billing period for monthly subscriptions.

By us: We may terminate or suspend your account immediately, without prior notice or liability, if: (a) you materially breach these Terms and fail to remedy the breach within 14 days of written notice; (b) you fail to pay fees when due; (c) we are required to do so by law or court order; or (d) we determine that continued provision of the Service would expose us to legal liability.

Effect of termination: Upon termination, your right to access the Service ceases immediately. Customer Data will be available for export for 30 days following termination, after which it will be deleted from our systems in accordance with our Privacy Policy. Zepilo will retain Customer Data for as long as required by applicable law.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified by email or in-app notification at least 14 days before taking effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you may cancel your subscription before the effective date.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Netherlands, without regard to conflict of law principles.

Any dispute arising from or in connection with these Terms or the Service shall first be submitted to good-faith negotiations between the parties. If no resolution is reached within 30 days, the dispute shall be submitted to the exclusive jurisdiction of the competent courts of Amsterdam, the Netherlands.

Notwithstanding the above, either party may seek urgent injunctive or other equitable relief in any court of competent jurisdiction to prevent harm.

15. Miscellaneous

Entire agreement: These Terms, together with the Privacy Policy, Cookie Policy, and any applicable DPA, constitute the entire agreement between you and Zepilo regarding the Service and supersede all prior agreements.

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force.

No waiver: Failure to enforce any right under these Terms does not constitute a waiver of that right.

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights to a successor entity in connection with a merger, acquisition, or sale of assets.
